PETAL CONSULTANCY SERVICES AGREEMENT
Introduction
PeTAL Consultancy is an online teaching and learning platform for Caribbean and international users seeking to develop professionally, find online consultancies and connect with members of the PeTAL community.
Agreement
This Agreement sets out the terms and conditions that will govern your use of our Platform and Website.
In this agreement, the words “We” or “Us” or “Our” refer to PeTAL Consultancy. The words “You” or “Your” refer to the individual user of this website. By browsing our Site or becoming a user, or clicking the “I Accept” button on this registration page and using Our platform, you are entering into a binding and enforceable agreement to be bound by all of the terms and conditions of this Agreement. We will then in our sole discretion, determine whether or not we will provide the Services to You.
This Agreement expressly incorporates by reference and includes, without limitation, Our Terms and Conditions, Privacy Policy, and any additional guidelines, rules and/or disclaimers that may be posted or updated on specific Web pages of Our Site, or on notices that are provided to You and as modified from time to time.
The headings used below are for reference only and do not form part of this agreement.

The Services provided under this Agreement (“the Services”), may at times be outside of our control or provided by a third party, in which case, we cannot take responsibility for their content, or for any delays, interruptions or errors in the provisions of these additional services, provided we have exercised reasonable care and diligence in the selection of such providers.
Whilst We will consistently make all reasonable attempts to exclude malware from our Site we cannot guarantee such exclusions and no liability is accepted for the same. You are therefore recommended to take all appropriate safeguards before downloading information from our Site.
Eligibility
You must be 18 years or older and capable of entering into legally binding agreements before entering into this Agreement.
Permitted Use, Password Protection and Security
You may only use the data retrieved from our website for your own personal purposes, in accordance with this Agreement and any others set out on our website. Except as stated below, you may not otherwise copy, distribute or redistribute the data, including by caching, framing or similar means or sell, re-sell, transmit or otherwise make the data retrieved from our website available in any manner to any third party.
You are the only person who may access or view the electronic files provided as part of the Services and who may use supporting materials provided by us, whether electronically or in print. You are permitted online access to the Services and may download, save, or print one hard copy of discreet sections of the text, search results, or other information provided as part of our teaching and learning services, provided that this must be strictly for your personal non-commercial or non-professional use and provided that You include all copyright and other proprietary rights and notices that appear on the original and that You include a customary bibliographic citation, including author attribution, date, article title, a reference to the teaching and learning component of the Services, and our website URL. You may not disseminate any portion of our teachings or related services through electronic means, including emails lists or bulletin boards, without our prior written consent.
By entering into this Agreement and using our teaching and learning services, You acknowledge that the Training is for Your exclusive use only. Use or sharing of Your User Name and Password by another user is not permitted and is cause for immediate termination of this Agreement without notice to You.
You are solely responsible for maintaining the confidentiality of Your User Name and Password and for all activities that occur under Your User Name and Password. You agree to immediately notify Us if You become aware of or have reason to believe that there is any unauthorized use of Your account or any other breach of security. You also agree to take all reasonable steps to stop such unauthorized use and to cooperate with Us in any investigation of such unauthorized uses or of infringements of Our intellectual property rights or those of information service providers or other third parties. We shall have the sole right, at our expense, to bring any action on account of such infringements or unauthorized uses. We shall not in any way be liable for any claims related to the use or misuse of Your User Name and Password due to the activities of any third party outside of our control or due to Your failure to maintain their confidentiality and security.
Limitations on Use
By entering into this Agreement, You agree not to:
-Post or share false, misleading, defamatory or fraudulent content
-Harass, abuse, or harm others or violate their rights
-Upload viruses or malicious code
-Attempt to reverse-engineer, disrupt, or overload the Service
Subscription Fees and Payments
We offer Free, Standard, and Premium subscription membership plans. The fees for these plans (“the Fees”) are billed monthly or annually as selected and must be paid on time. The fee options available to You will be presented within the program descriptions and at the point of registration.
We reserve the right to modify our fees at anytime, within our discretion but Fees will be incurred at the rate applicable at the time of registration. Any modification of fees will be communicated by email, posting on Our Site or using such other method as we think will be sufficient to bring it to your attention.
Your failure to pay fees within the time agreed will be a breach of this Agreement and a ground for immediate termination of your subscription and loss of access to our Site.
No liability for Consultancy Listings and Jobs
We do not guarantee the accuracy or availability of consultancy or job listings posted to Our Site. You must independently verify the opportunities contained in these listings before engagement.
Intellectual Property
All trademarks and branding remain Our property or of any information service provider or third party as the case may be.
You will retain ownership of any content which you create in direct connection with your use of the Services but you hereby irrevocably grant Us a license to display such content on the platform.
Certain data accessible on our site may be the intellectual property of certain information service providers, third parties, or may belong to us. This data is protected by copyright and other intellectual property laws and all ownership rights remain with the information service provider, third party or with us as the case may be.
Non assignment
The right to use this service is personal to You. Only you can use it. You cannot assign or sublicence or otherwise transfer or dispose of your rights under this Agreement for any reason whatsoever.
Termination
We may suspend or terminate your account without prior notice if you violate this Agreement.
This Agreement remains in effect for so long as You are a fully paid user of the Services or until terminated by us.
In the event that
- You are in breach of this Agreement and provided that such a breach is capable of remedy, but fail to remedy such breach(s) within the time provided by Us to do so, after written notice from Us requiring you to do so; or
- You are unable to pay the Fees for any reason
We may immediately terminate the Services.
Effects of Termination
Upon termination, you agree to:
- remain liable to pay the Fees charged to you under this Agreement;
- Continue to respect and uphold all copyright and data obligations under this Agreement in addition to any other duties which are capable of surviving the termination of this Agreement.
Further Disclaimers and Limitation of Liability
The data provided on our website is provided “as-is” and “as-available.” We or any third party shall not be liable for any loss or damage, direct, indirect or consequential arising from (1) any inaccuracy or incompleteness in, or delays, interruptions or errors or omissions in the delivery of the data or any other information supplied to you through our website, or (2) any decision made or action taken by you or any third party in reliance upon the data nor will we be liable for loss of business revenues, lost profits, or any punitive, indirect, consequential, special or similar damages, whatsoever, whether in contract or in tort or otherwise, even if advised of the possibility of such damages incurred by you or by a third party.
Neither we, any information service provider or third party shall be liable for any damage to your computer, software, hardware, mobile or telephone devices or any other property resulting from the use of the Services.
Where any information provided as part of the Services is obtained from any information service provider or third party we do not give any warranties as to the accuracy, adequacy, quality or fitness, timeliness, non-infringement or title of such information, for a particular purpose or use and all such warranties are expressly excluded to the fullest extent that such warranties may be excluded by law. Whilst we will use our best efforts to provide quality and reliable information, you bear all risks from any use or results of using such information.
Modifications
This Agreement may be updated from time to time. Continued use after updates constitutes acceptance of the same.
Force Majeure
Neither You nor Us nor any information service provider or third party shall be held liable for breach of its obligations hereunder (except in relation to the obligation to make payments) nor liable to the other for any loss or damage which may be suffered by another party due to any cause beyond its reasonable control including but without limitation, any Act of God, pandemic, failure, flood, lightning, fire, strike, lock-out, trade dispute, act or omission of governmental regulatory authorities, other total communication operators or other competent authority.
No waiver
Any failure by Us to exercise or enforce any of Our rights under this Agreement will not be deemed to be a waiver of any such rights or operate so as to prevent the subsequent enforcement or exercise of such right.
Entire Agreement
This Agreement represents the entire agreement between You and Us in relation to its subject matter and supersedes all other agreements or representations made by either party whether oral or written.
Survivability
If any provision of this Agreement is found to be invalid or unenforceable the validity or enforceability of the remaining provisions will not be affected as a result.
Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of Grenada and We hereby agree to bring any disputes arising out of this Agreement ONLY before the Courts of Grenada
